Delaware LLC virtual address: 6 Del. C. § 18-104, registered agents, and bank KYC

Updated October 27, 2026 · Delaware Code Title 6 § 18-104, 31 CFR 1020.220, IRS SS-4 instructions, and bank policies checked on that date · Affiliate disclosure

Forming a Delaware LLC is one of the most popular ways to launch an online company, SaaS startup, or holding company—especially because Delaware's Certificate of Formation does not require listing member names or home addresses on the public filing. However, founders searching for a "Delaware LLC virtual address" frequently run into two legal walls: first, Delaware Code Title 6, § 18-104 explicitly forbids a registered agent from performing its duties solely through a virtual office or mail forwarding service; second, banks (Mercury, Relay, Chase, Bluevine) and Stripe still require the physical location where you actually work. This guide explains which Delaware address fields accept a virtual mailbox and how to set up your Delaware LLC cleanly.

Short version (Delaware Code & bank rules, checked October 27, 2026)

❌ Delaware Registered Office / Agent (6 Del. C. § 18-104): A standalone virtual mailbox (PMB) cannot be your Delaware registered agent. Section 18-104 states a registered agent "may not perform its duties or functions solely through the use of a virtual office, the retention by the agent of a mail forwarding service, or both."

✅ Company Mailing & Tax Address (IRS SS-4 Line 4, Stripe Atlas, invoices): A Wilmington or New Castle virtual mailbox (with a completed USPS Form 1583) works well for everyday company mail, IRS correspondence, and Stripe's public support address.

❌ Bank Physical / Operating Address (31 CFR 1020.220): Renting a Wilmington virtual mailbox does not make Delaware your physical operating location. Banks require your real home or office address for KYC.

What Delaware law says: 6 Del. C. § 18-104 (exact quote)

Under the Delaware Limited Liability Company Act (6 Del. C. § 18-104), every Delaware LLC must continuously maintain both a registered office in Delaware and a registered agent for service of process. Delaware amended § 18-104 specifically to stop unstaffed virtual offices and mail drops from acting as registered agents:

"The registered agent of 1 or more limited liability companies shall have a business office identical with such registered office which is generally open, or if the registered agent is an individual resident of this State, shall be generally present at such registered office, at sufficiently frequent times to accept service of process and otherwise perform the functions of a registered agent. A registered agent may not perform its duties or functions solely through the use of a virtual office, the retention by the agent of a mail forwarding service, or both."

Section 18-104 also clarifies that any address filed with the Delaware Secretary of State must include the street, number, city, and postal code—and that any person or entity acting as registered agent for more than 50 entities in Delaware must register as a commercial registered agent under § 18-104(k).

The 4 addresses a Delaware LLC needs (and what fits where)

Because Delaware's Certificate of Formation only asks for the LLC's name and its Delaware registered office/agent, many founders assume they only need one address. In reality, your Delaware LLC will be asked for four different addresses across state, tax, and banking forms:

Where a Delaware registered agent, Delaware virtual mailbox, and home/office address fit across LLC filings (checked October 27, 2026).

Frequently asked questions

Can I use a Delaware virtual mailbox as my LLC's registered agent address?

No. Delaware Code Title 6, § 18-104 explicitly states that a registered agent 'may not perform its duties or functions solely through the use of a virtual office, the retention by the agent of a mail forwarding service, or both.' Your Delaware LLC must maintain a registered office and registered agent in Delaware where the agent or an employee is generally present to accept service of process in person.

Does a Delaware LLC have to list its members' or managers' addresses on the Certificate of Formation?

No. Under the Delaware Limited Liability Company Act, a Delaware Certificate of Formation only requires the name of the LLC, the address of its registered office in Delaware, and the name and address of its registered agent for service of process. Member and manager names and residential addresses are not required on the public Certificate of Formation.

Why do Delaware LLC owners still rent a virtual mailbox in Wilmington or New Castle?

A Delaware registered agent only forwards legal service of process and official Delaware franchise tax notices—not your everyday business mail, IRS letters, bank cards, or customer checks. Stripe Atlas's documentation explicitly warns that your Delaware registered agent address is not a general-purpose mail-forwarding address. Renting a separate virtual mailbox gives your Delaware LLC a mailing address for IRS Form SS-4 Line 4, invoices, and Stripe's public support address.

Will a Wilmington virtual mailbox satisfy Mercury, Relay, or Chase as my physical business address?

No. Under the federal Customer Identification Program rule (31 CFR 1020.220), U.S. banks must collect the physical location where your business actually operates plus each beneficial owner's residential address. Mercury and Relay explicitly reject virtual mailboxes and CMRAs as the physical/operating address, and Chase may require proof of your physical business address. Use your real home or office for bank KYC and your Delaware virtual mailbox for mailing.

Can I use a virtual mailbox on Stripe Atlas when incorporating in Delaware?

Yes, for the company address field. Stripe Atlas's signup guide explicitly states that if you don't have an official company address yet, you can use your home address or get a virtual address through a partner, which Atlas uses on your IRS Form SS-4 EIN application and incorporation documents. However, founders must still provide their personal residential home address for identity verification and 83(b) elections.

Which virtual mailbox providers also offer a Delaware registered agent add-on?

As of our October 27, 2026 check, iPostal1 offers a $99/year registered agent add-on in Delaware with any Virtual Business Address plan (which starts at $14.99/month, varies by location), and Stable offers a $25/month Delaware registered agent add-on (requires a Stable mailbox plan starting at $59/month, or $49/month billed yearly). In both cases, the registered agent address is separate from your virtual mailbox PMB.

Why does Chase require physical formation documents for a Delaware LLC?

Chase's business account checklist notes that while most states allow a Chase banker to validate an LLC's active status free of charge via the state's website, website validation is not available for Delaware and New Jersey. Delaware LLC owners opening a Chase account must provide a certified or state-stamped copy of their Certificate of Formation (and a Certificate of Good Standing if formed more than one year ago).
