Wyoming LLC virtual address: W.S. 17-28-101 registered agent rules and bank KYC

Updated October 27, 2026 · Wyoming Statutes Title 17 Chapter 28 (W.S. 17-28-101), 31 CFR 1020.220, IRS SS-4 instructions, and bank policies checked on that date · Affiliate disclosure

Wyoming is one of America's top LLC formation states thanks to low filing fees, strong member privacy, and no state personal or corporate income tax. Because so many remote founders form a Wyoming LLC without living in Wyoming, Cheyenne and Sheridan have become major hubs for both commercial registered agents and virtual mailboxes. However, two rules govern every Wyoming LLC virtual address: first, Wyoming Statutes § 17-28-101 requires your registered office to be a physical Wyoming street location where your registered agent (or a natural person with an agency relationship) is physically present to accept service of process; second, forming a Wyoming LLC with a Cheyenne mailbox does not exempt you from providing your real operating and home address to U.S. banks under 31 CFR § 1020.220. Here is what the statute and the banks' own docs say.

Short version (Wyoming Statutes & bank rules, checked October 27, 2026)

⚖️ Wyoming Registered Office / Agent (W.S. 17-28-101): Must be a physical street address in Wyoming where the registered agent (or an individual with a written agency relationship) is physically present to accept service of process. A standalone mail-only PMB cannot be your registered agent unless the provider is also appointed as your Wyoming registered agent.

📬 LLC Mailing & Tax Address (IRS SS-4 Line 4, invoices): A Cheyenne or Sheridan virtual mailbox (with a completed USPS Form 1583) works well for everyday company mail, IRS correspondence, and Stripe's public customer support address.

🏦 Bank KYC Reality (31 CFR 1020.220): Mercury, Relay, Chase, Bluevine, and Wells Fargo still require the real physical address where you work and live—a Cheyenne mailbox is accepted only as a mailing/card address.

What Wyoming law says: W.S. 17-28-101 (exact quote)

Wyoming regulates registered offices and agents for all business entities under Wyoming Statutes Title 17, Chapter 28 (W.S. 17-28-101 et seq.). Section 17-28-101(a) requires every Wyoming LLC to continuously maintain in Wyoming:

"(i) A registered office that may be the same as any of its places of business but shall be located at a street address in Wyoming which shall be a physical location where the business entity's registered agent, or a natural person who has an agency relationship with the registered agent, can accept service of process as provided in W.S. 17-28-104 and is physically present at that location;"

Section 17-28-101(a)(ii) further requires that the registered agent's business office be identical with that registered office. If the registered agent is an entity rather than an individual Wyoming resident 18 or older, it must have a written agreement creating an agency relationship with a natural person who is physically present at the Wyoming registered office.

Wyoming's Commercial Registered Agent rule (more than 10 entities)

Wyoming is famous for strictly policing high-volume registered agents and address mills in Cheyenne and Sheridan. Under W.S. 17-28-101(b) and W.S. 17-28-105:

Why a Wyoming virtual address won't pass bank physical KYC

The #1 misconception promoted on YouTube and LLC forums is that forming a Wyoming LLC with a Cheyenne or Sheridan virtual address lets you open a U.S. business bank account anonymously without giving your home address. It does not:

  1. Federal law (31 CFR § 1020.220) overrides state privacy: Regardless of what appears on your Wyoming Secretary of State filing, every U.S. bank must comply with the federal Customer Identification Program rule, which requires collecting a "principal place of business, local office, or other physical location" for the LLC plus a residential street address for each beneficial owner.
  2. USPS DPV CMRA detection: Every virtual mailbox in Cheyenne or Sheridan is a registered CMRA under USPS DMM 508.1.8 and appears in the USPS Delivery Point Validation (DPV®) CMRA table. Changing "PMB" to "Suite" does not hide the CMRA flag.
  3. Explicit bank policies: Mercury and Relay explicitly ban virtual mailboxes, CMRAs, and registered agent addresses as your physical/operating address. Bluevine explicitly bans P.O. boxes and registered agent addresses. Chase notes that if your LLC is organized in Wyoming but physically operates in the state where you open the account, you must provide documentation certifying the business is entitled to operate in that state (though Chase also notes Wyoming itself does not require an Assumed Name Certificate / DBA filing).

The good news: your home address given to a bank for 31 CFR 1020.220 KYC is kept private inside the bank's compliance records and is never published on the Wyoming Secretary of State's website.

Frequently asked questions

Can I use a Cheyenne or Sheridan virtual mailbox as my Wyoming LLC's registered agent?

No, not a standalone mailbox. Under Wyoming Statutes § 17-28-101(a)(i), every business entity must maintain a Wyoming registered office at a street address that is a 'physical location where the business entity's registered agent, or a natural person who has an agency relationship with the registered agent, can accept service of process as provided in W.S. 17-28-104 and is physically present at that location.' A mail-only PMB does not meet the physical presence requirement unless the provider is also appointed as your registered agent.

What is a Commercial Registered Agent under Wyoming law?

Under W.S. 17-28-101 and 17-28-105, any person or entity that serves as a registered agent in Wyoming for more than ten (10) business entities must register with the Wyoming Secretary of State as a Commercial Registered Agent and maintain a physical Wyoming street address where an individual is physically present during business hours to accept service of process.

If I form a Wyoming LLC with a Wyoming address, will banks let me open an account without giving my home address?

No. State LLC privacy rules do not override federal banking law. Under the federal Customer Identification Program rule (31 CFR 1020.220), every U.S. bank and fintech partner bank must collect the physical location where your LLC actually conducts business plus the residential street address of each beneficial owner. Mercury, Relay, and Wells Fargo explicitly reject virtual mailboxes and CMRAs as the operating/physical or residential address.

Can I use a Wyoming virtual mailbox as my LLC's mailing and principal address?

You can use a Wyoming virtual mailbox (after completing USPS PS Form 1583) as your LLC's mailing address for everyday correspondence, vendor invoices, IRS Form SS-4 Line 4, and Stripe's public customer support address. If you list a virtual mailbox or registered agent suite on your Wyoming filings, remember that banks like Mercury and Relay will still require your separate day-to-day physical operating address during onboarding.

How does Relay handle a Wyoming registered agent address?

Relay's help center explicitly states that a registered agent address may serve as your business's legal address on Relay—including for non-U.S. residents establishing a U.S. LLC—as long as you also provide a valid physical operating address (such as your home or office) and your personal residential address.

Which virtual mailbox providers offer both a Wyoming address and a Wyoming registered agent?

As of October 27, 2026, iPostal1 offers Virtual Business Address plans starting from $14.99/month (varies by location) and lists Wyoming among the 25 jurisdictions eligible for its $99/year registered agent add-on. Stable offers virtual mailbox plans starting at $59/month ($49/month billed yearly) and offers a $25/month registered agent add-on in all 50 states, including Wyoming.

Do I need a DBA (Assumed Name Certificate) to open a Chase account for a Wyoming LLC?

Only if you operate under a trade name different from your LLC's legal name—and Chase's business checking documentation specifically notes that an Assumed Name Certificate is not required for businesses in Wyoming (among several other listed states), though you should always confirm with your local branch if your LLC operates in another state.
